1. Introduction

These Affiliate Partner Terms of Service ("Agreement") govern your participation in the Jarvio Affiliate Partner Program ("Program") operated through PartnerStack. By joining the Program, you agree to be bound by these terms in addition to the PartnerStack Partner Terms of Service. In the event of a conflict between these terms and the PartnerStack terms, these terms shall take precedence regarding your relationship with Jarvio.

2. Program Overview

Jarvio is an AI-powered Amazon automation platform. The Program allows approved affiliates ("Partners") to earn commissions by referring new paying customers to Jarvio through unique referral links provided via the PartnerStack platform.

3. Eligibility and Acceptance

To participate in the Program, you must: (a) submit an application through PartnerStack, (b) be approved by Jarvio at its sole discretion, (c) be at least 18 years of age or the age of majority in your jurisdiction, and (d) comply with all applicable laws and regulations. Jarvio reserves the right to reject or revoke any application or partnership at any time, for any reason.

4. Referral Links and Tracking

All referrals must be made through the unique tracking links provided to you via PartnerStack. Jarvio is not responsible for tracking or crediting referrals made through any other method. Cookie duration, attribution windows, and tracking rules are as configured within the PartnerStack platform and may be updated from time to time at Jarvio's discretion.

5. Commission Structure

Commission rates, payment terms, and eligible actions are defined within your PartnerStack partner dashboard and may vary by partner tier or promotional period. Jarvio reserves the right to modify commission rates at any time with reasonable notice provided through PartnerStack. Commissions are only earned on qualified, paid subscriptions. Refunded, disputed, or fraudulent transactions will not be eligible for commission and any previously paid commission on such transactions may be deducted from future payouts.

6. Payment

All commission payments are processed through PartnerStack in accordance with their payment terms and schedules. You are responsible for providing accurate payment information within PartnerStack and for any taxes owed on commission income. Jarvio is not responsible for payment processing delays or issues caused by PartnerStack or your chosen payment provider.

7. Permitted Promotional Methods

Partners may promote Jarvio through: (a) personal websites, blogs, and owned media, (b) social media channels, (c) email marketing to your own opt-in subscriber lists, (d) YouTube, podcast, and video content, and (e) any other method expressly approved by Jarvio in writing. All promotional content must be truthful, not misleading, and comply with applicable advertising laws and regulations, including FTC disclosure requirements.

8. Prohibited Activities

Partners shall not: (a) use paid search ads or PPC campaigns bidding on "Jarvio" or related brand terms without prior written approval, (b) engage in cookie stuffing, click fraud, or any form of artificial traffic generation, (c) create fake reviews, misleading testimonials, or false endorsements, (d) send unsolicited commercial email (spam) to promote Jarvio, (e) make false or misleading claims about Jarvio's features, pricing, or capabilities, (f) use Jarvio's name, logo, or branding in a way that implies official endorsement or partnership beyond your affiliate relationship, (g) register domain names or social media handles that include "Jarvio" or confusingly similar terms, or (h) engage in any activity that could harm Jarvio's reputation or brand.

9. Intellectual Property

Jarvio grants Partners a limited, non-exclusive, revocable license to use Jarvio's approved marketing materials, logos, and brand assets solely for the purpose of promoting Jarvio under this Program. All intellectual property rights in Jarvio's name, logo, trademarks, and materials remain the sole property of Jarvio Ltd. Partners must not modify Jarvio's brand assets without prior written approval.

10. Confidentiality

Partners agree to keep confidential any non-public information shared by Jarvio, including but not limited to commission rates, internal performance data, upcoming features, and business strategies. This obligation survives termination of this Agreement.

11. Data Protection and Privacy

Partners must comply with all applicable data protection laws, including GDPR where applicable. Partners shall not collect, store, or process personal data of Jarvio users or prospects except as necessary to make referrals through the Program and in compliance with applicable law. Any personal data shared between the parties shall be handled in accordance with Jarvio's Privacy Policy.

12. Termination

Either party may terminate this Agreement at any time, for any reason, with or without notice. Jarvio may immediately terminate your participation if you breach any term of this Agreement. Upon termination: (a) all rights granted to you under this Agreement will immediately cease, (b) you must remove all Jarvio promotional materials and referral links from your channels, (c) commissions earned and properly tracked prior to termination will still be paid according to the standard payment schedule, provided they are not subject to clawback, and (d) commissions on referrals made after termination will not be paid.

13. Modification of Terms

Jarvio reserves the right to modify these terms at any time. Updated terms will be posted at jarvio.io/affiliate-partner-terms with a revised "Last Updated" date. Continued participation in the Program after changes are posted constitutes acceptance of the updated terms. Material changes will be communicated via PartnerStack or email where possible.

14. Disclaimer of Warranties

The Program is provided "as is" without warranties of any kind, whether express or implied. Jarvio does not guarantee any level of earnings, conversions, or referral success. Jarvio makes no warranty that the Program or PartnerStack platform will be uninterrupted, error-free, or secure.

15. Limitation of Liability

To the fullest extent permitted by law, Jarvio and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement or the Program, regardless of the theory of liability. Jarvio's total liability under this Agreement shall not exceed the total commissions paid to you in the twelve (12) months preceding the event giving rise to the claim.

16. Indemnification

You agree to indemnify and hold harmless Jarvio Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your breach of this Agreement, (b) your promotional activities, (c) your violation of any applicable law, or (d) any third-party claims related to your participation in the Program.

17. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of Ireland.

18. Relationship of Parties

Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between you and Jarvio. You are an independent contractor and have no authority to bind Jarvio in any way.

19. Entire Agreement

This Agreement, together with the PartnerStack Partner Terms of Service, constitutes the entire agreement between you and Jarvio regarding the Program and supersedes all prior agreements or communications on this subject.
